The terms that govern your use of Ask Rani.

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and CVS LOGIC, a Texas-registered limited liability company ("we," "us," or "our"), governing your access to and use of Ask Rani — our AI-powered assistant service, including our websites, control panel, web chat interfaces, and WhatsApp messaging integration (collectively, the "Service").

By creating an account, scanning a code, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms. If you do not agree, do not use the Service.

2. The Service

Ask Rani provides AI-powered customer assistance that businesses ("Clients") deploy to help their own customers ("End Users") find products, ask questions, and place pickup or order requests, on the web and through WhatsApp. Rani generates responses from the information a Client provides (catalog, menu, hours, policies, and other knowledge).

We may add, change, or remove features at any time. We may also set reasonable usage limits to protect the Service and its users.

3. Accounts & Eligibility

To use the Client control panel you must register an account, provide accurate information, and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and capable of forming a binding contract. Notify us promptly of any unauthorized use.

4. Client Responsibilities

If you are a Client, you agree that:

  • The information you upload (products, prices, hours, policies) is accurate, lawful, and yours to use, and you will keep it up to date.
  • You are solely responsible for your relationship with your End Users, including fulfilling orders, honoring prices, and handling customer service and complaints.
  • You will comply with all applicable laws and with the terms of any messaging channel you enable, including the WhatsApp Business Messaging Policy and Meta's platform policies.
  • You will obtain any consents required to message your End Users and to process their information, and you will honor opt-out requests.
  • You will not use the Service to send unsolicited or unlawful messages.

5. Acceptable Use

You agree not to, and not to permit anyone to:

  • Use the Service for any unlawful, harmful, deceptive, or fraudulent purpose;
  • Upload content that is illegal, infringing, defamatory, or that you lack rights to;
  • Attempt to probe, scan, or breach the security of the Service, or access it in an automated or abusive manner that degrades it for others;
  • Reverse engineer, resell, or create derivative services from the Service except as expressly permitted;
  • Use the Service to provide regulated professional advice (medical, legal, financial) as though it were authoritative; or
  • Interfere with or misuse the AI, including attempts to extract confidential prompts or another Client's data.

6. AI Responses & Accuracy

Rani is an AI assistant and can make mistakes. Responses are generated automatically from the data a Client provides and may be incomplete, outdated, or incorrect. They are provided for general assistance only and are not professional advice. Always verify important information (such as price, availability, allergens, dosage, or safety) with the business or a qualified professional before relying on it.

Clients are responsible for the accuracy of the underlying information they provide and for reviewing how Rani represents their business. We do not guarantee that AI responses will be accurate, complete, or fit for any particular purpose.

7. Orders & Transactions

Ask Rani facilitates communication — it is not a party to any sale. When an End User places an order request through Rani, that request goes to the Client, who reviews, prices, confirms, and fulfills it. Rani does not set final prices, take payment, or guarantee that any item is available or will be fulfilled.

Any contract for goods or services is solely between the End User and the Client. We are not responsible for the quality, safety, legality, pricing, or fulfillment of a Client's products or services, or for any dispute between an End User and a Client.

8. Fees & Payment

Access to paid plans is subject to the fees described at sign-up or in a separate order or agreement. Unless stated otherwise, fees are billed in advance, are non-refundable except where required by law, and are exclusive of taxes, which you are responsible for. We may change fees on prospective notice. Failure to pay may result in suspension or termination.

9. Intellectual Property

The Service, including its software, design, and the "Ask Rani" name and marks, is owned by CVS LOGIC and its licensors and is protected by law. We grant Clients a limited, non-exclusive, non-transferable, revocable license to use the Service during their subscription, solely for their own business.

You retain ownership of the content and data you upload ("Client Content"). You grant us a worldwide, non-exclusive license to host, process, and use Client Content as needed to operate and improve the Service. We may use aggregated, de-identified data that does not identify any Client or End User to operate and improve the Service.

10. Third-Party Services

The Service integrates with third-party providers (for example, WhatsApp / Meta Platforms, Google, Supabase, Vercel, and Cloudflare). Your use of those integrations may be subject to the third party's own terms and policies. We are not responsible for third-party services and do not control their availability.

11. Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms. By using the Service you agree to that policy.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CVS LOGIC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify and hold harmless CVS LOGIC and its affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Client Content, your use of the Service, your relationship with your End Users, or your violation of these Terms or applicable law.

15. Term & Termination

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to us. On termination, your license to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and, where appropriate, notify Clients. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Texas will have exclusive jurisdiction over any dispute, except where local consumer-protection laws grant you rights that cannot be waived.
